
Terms and Conditions

SCOPE AND APPLICABILITY OF AGREEMENT
This Terms and Conditions agreement (the “Agreement”) governs and applies to all interactions, transactions, participation, access, and engagement with MedPro Extreme Co., Ltd., a company incorporated under the laws of the Kingdom of Thailand (“MedPro Extreme,” “Company,” “we,” “us,” or “our”).
This Agreement applies to, without limitation:
(a) all training programs, courses, workshops, events, simulations, assessments, evaluations, certifications, credentialing activities, and field exercises offered, conducted, hosted, facilitated, or endorsed by MedPro Extreme, whether delivered in-person, in the field, online, or in any blended format;
(b) all use of MedPro Extreme websites, digital platforms, registration systems, application forms, participant portals, communication channels, learning environments, marketing materials, instructional content, documentation, and training materials; and
(c) all partnerships, collaborations, co-hosting arrangements, referrals, sponsorships, commercial engagements, and business relationships entered into with MedPro Extreme.
By registering, making payment, signing or accepting any MedPro Extreme form or document, attending or participating in any activity, accessing or using any materials or platforms, or engaging in any partnership or collaborative activity, you expressly acknowledge that you have read, understood, and agree to be legally bound by this Agreement.
If you do not agree to this Agreement, you must not register, attend, access, participate in, use, or engage with any MedPro Extreme services, materials, or activities.
1. Territorial and International Applicability
1.1 This Agreement applies globally. It governs all Services delivered in Thailand and outside Thailand, including international delivery, cross-border partnerships, traveling courses, and online access.
1.2 This Agreement applies regardless of your nationality, residence, or location at the time you access or receive the Services.
1.3 Where Services are delivered outside Thailand, this Agreement applies to the maximum extent permitted by applicable law. Mandatory local consumer protections, if any, still apply where they cannot be excluded.
1.4 If you participate through an employer, school, government agency, or other organization, this Agreement still applies to you as an individual participant, in addition to any organizational agreement.
2. Definitions
2.1 Services means all offerings provided by MedPro Extreme, including training, events, assessments, consulting, communications, digital content, equipment use, and partnerships.
2.2 Course means any in-person, outdoor, classroom, blended, or online activity.
2.3 Materials means all content and intellectual property used or provided in connection with the Services, including curriculum, manuals, slides, scenarios, checklists, assessments, rubrics, photos, videos, and branded documents.
2.4 Participant means any person attending or attempting to attend any Course.
2.5 Client means any paying party, including an organization funding training for Participants.
2.6 Partner means any party collaborating with MedPro Extreme for delivery, hosting, marketing, referral, sponsorship, or commercial activity.
2.7 Third-Party Credential means any certification, credential, or recognition governed by a separate issuing body.
2.8 Force Majeure means events beyond reasonable control, including severe weather, natural disasters, government actions, public health restrictions, site closure, and transport disruption.
3. Acceptance, Contract Formation, and Order of Documents
3.1 You accept and agree to be bound when you do any of the following:
(a) register or submit a form,
(b) make any payment,
(c) click acceptance online,
(d) sign any MedPro Extreme document, or
(e) attend, access, or participate in any part of the Services.
3.2 This Agreement incorporates the policies listed above. Those policies are enforceable as if fully written here.
3.3 If a signed proposal, invoice terms, service contract, or partner agreement conflicts with this Agreement, the signed document governs only for that specific scope. All other sections remain in effect.
3.4 No verbal statement modifies this Agreement. Changes require written approval by MedPro Extreme.
4. Eligibility, Identity, and Authority
4.1 You represent that you have the legal capacity to enter into this Agreement.
4.2 You represent that the information you provide is accurate and complete, including legal name and identifying details required for certification records.
4.3 If you register or sign on behalf of another person or organization, you represent you have authority to bind that party, and you accept responsibility for accuracy of the submission.
4.4 MedPro Extreme may refuse participation, remove a Participant, or deny certification when prerequisites, documentation, identity verification, or safety requirements are not met.
5. Registration, Seat Confirmation, and Access Control
5.1 A seat is confirmed only when MedPro Extreme receives payment in full or an approved deposit and confirms acceptance.
5.2 MedPro Extreme may cap enrollment based on safety ratios, instructor availability, venue restrictions, equipment limits, and operational constraints.
5.3 MedPro Extreme may deny entry to a course site if you fail to meet requirements, including but not limited to identity verification, prerequisites, PPE requirements, or safety rules.
5.4 MedPro Extreme may restrict access to materials, certificates, or records when fees remain unpaid or where misconduct, fraud, or policy violations occur.
6. Course Delivery, Operational Changes, and No Guarantee of Continuity
6.1 MedPro Extreme may modify any aspect of delivery at its discretion when required for safety or operational reasons, including:
(a) schedule, start time, or duration,
(b) instructor assignments,
(c) venue or training area,
(d) scenarios, activities, or sequencing,
(e) assessment format, scoring, or station design,
(f) equipment allocation and rotations.
6.2 Such changes do not constitute breach of contract. They do not entitle you to refund or damages, except as required by law or expressly stated in the Refund and Cancellation Policy.
6.3 MedPro Extreme may suspend or end any activity in real-time when conditions change or when safety standards require it.
7. Participant Duties, Conduct, and Compliance
7.1 You agree to comply with:
(a) instructor directions and safety briefings,
(b) site rules, local laws, and venue requirements,
(c) professional conduct expectations,
(d) equipment handling rules,
(e) group safety decisions.
7.2 You agree not to engage in conduct that compromises safety, learning, or operations, including harassment, threats, intimidation, discriminatory conduct, or disruptive behavior.
7.3 MedPro Extreme may remove you from an activity or an entire Course where your conduct, refusal to comply, or unsafe actions create risk.
7.4 Removal for safety or misconduct may occur without warning and may result in:
(a) immediate termination of participation,
(b) denial of completion or certification,
(c) no refund and no credit, to the extent permitted by law.
8. Health, Fitness, Medical Responsibility, and Assumption of Risk
8.1 You acknowledge that training may include physical activity and variable environments. Risks may include slips, falls, environmental exposure, water hazards, equipment hazards, exertion-related injury, and transportation or access risks.
8.2 You voluntarily assume all inherent risks associated with participation to the maximum extent permitted by law.
8.3 You represent that you are medically and physically fit to participate and that you will not participate beyond your capacity.
8.4 You are responsible for:
(a) your medications and medical devices,
(b) management of known conditions,
(c) disclosing limitations that affect safety,
(d) stopping and notifying staff when symptoms or limitations arise.
8.5 MedPro Extreme may require you to stop participation when a reasonable safety concern exists. That decision is final for the purpose of safety control.
8.6 MedPro Extreme does not provide medical diagnosis services. Any first aid or emergency support during training is limited by location, access, and available resources.
9. Safety Authority, Removal Powers, and Operational Control
9.1 All safety decisions by instructors and staff are final. You agree not to override, bypass, or debate safety controls during active operations.
9.2 You agree that MedPro Extreme may modify or stop any skill station or scenario at any time.
9.3 You agree that MedPro Extreme may require PPE or exclude you from specific tasks when:
(a) PPE is missing or non-compliant,
(b) weather or conditions change,
(c) your performance creates risk.
10. Assessments, Competency Standards, and Certification
10.1 Courses may include attendance requirements, skills verification, written tests, scenario performance, and minimum competency thresholds.
10.2 Certification is not guaranteed. Completion depends on meeting:
(a) attendance requirements,
(b) competency standards,
(c) safety compliance,
(d) Honor Code compliance.
10.3 MedPro Extreme may deny, revoke, or invalidate certification when it determines:
(a) cheating or dishonesty occurred,
(b) safety violations occurred,
(c) identity was misrepresented,
(d) required standards were not met.
10.4 Where Third-Party Credentials apply, you agree:
(a) the issuer’s rules govern credential outcomes,
(b) MedPro Extreme may share attendance and results as required,
(c) issuer decisions may be final within their systems.
10.5 Certificates may be delayed or withheld until:
(a) fees are paid,
(b) records are verified,
(c) incident review is complete.
11. Fees, Invoicing, Taxes, and Payment Enforcement
11.1 Fees are stated in the course listing, invoice, proposal, or contract.
11.2 You agree to pay all fees by the due date. You are responsible for bank fees and payment processing costs unless stated otherwise.
11.3 If your organization applies withholding tax, you must provide required documentation and pay any shortfall that results in underpayment.
11.4 MedPro Extreme may cancel your participation or withhold certificates if payment is not received.
11.5 MedPro Extreme may pursue lawful collection of unpaid fees and related costs.
12. Refunds, Cancellations, Transfers, and Credits
12.1 Refunds, cancellations, transfers, and credits are governed by the Refund and Cancellation Policy, which is incorporated into this Agreement.
12.2 Unless a written contract states otherwise, you agree:
(a) no refund for no-show,
(b) no refund for partial attendance,
(c) no refund or credit for removal due to safety or misconduct,
(d) deposits may be non-refundable when logistics are committed.
12.3 MedPro Extreme may issue credit instead of refund when reasonable and lawful. Credits may have an expiration date and may be non-transferable.
12.4 If MedPro Extreme cancels a course, the remedy is limited to:
(a) refund of fees paid to MedPro Extreme for that course, or
(b) course credit, per the Refund and Cancellation Policy.
Travel and personal costs remain your responsibility.
13. Equipment, Property, and Damage Responsibility
13.1 You are responsible for your personal property. MedPro Extreme is not responsible for loss, theft, or damage to personal items.
13.2 You must use MedPro Extreme equipment only as instructed.
13.3 You agree to pay for repair or replacement when equipment is damaged due to misuse, negligence, or rule violation by you or by anyone under your control.
13.4 MedPro Extreme may charge reasonable replacement cost and administrative handling costs.
14. Media, Recording, and Consent
14.1 You grant MedPro Extreme a perpetual, worldwide, royalty-free license to record, use, reproduce, and publish your image, likeness, and voice captured during training for:
(a) training documentation,
(b) quality improvement,
(c) marketing and communications,
(d) reporting to clients or partners funding training,
(e) internal staff education.
14.2 If you request a media opt-out, you must submit it in writing before the course start. MedPro Extreme will use reasonable efforts to respect opt-out, but incidental capture in group or public areas may still occur.
14.3 You may not record audio, video, or photos of:
(a) instructor demonstrations,
(b) course materials,
(c) assessments or evaluation stations,
(d) other participants,
without prior written permission.
14.4 Unauthorized recording is a material breach and may result in removal, denial of certification, and legal action.
15. Intellectual Property, Copyright, and Trademarks
15.1 All Materials are owned by MedPro Extreme or its licensors. No ownership transfers to you.
15.2 MedPro Extreme grants you a limited, personal, non-exclusive, non-transferable, revocable license to use Materials solely for your personal learning.
15.3 You may not copy, distribute, publish, sell, sublicense, translate, modify, create derivative works, or use Materials to deliver training, whether free or paid, without written permission.
15.4 You may not use MedPro Extreme name, logo, course titles, or branding in marketing, certificates, or social media in a manner that implies endorsement, authorization, or partnership without written approval.
15.5 MedPro Extreme may seek injunctive relief, damages, and recovery of legal costs for infringement, to the maximum extent permitted by law.
16. Acceptable Use Policy
16.1 You must not use MedPro Extreme systems, communications, or communities to:
(a) violate law,
(b) harass or threaten others,
(c) distribute malware,
(d) impersonate staff or misrepresent affiliation,
(e) spam or run scams,
(f) scrape or harvest data without written permission,
(g) attempt unauthorized access or bypass security controls.
16.2 MedPro Extreme may remove content, suspend access, terminate participation, or deny certification for violations.
17. Honor Code
17.1 You must complete assessments with integrity.
17.2 Prohibited conduct includes misrepresentation, cheating, plagiarism, unauthorized collaboration, impersonation, sharing assessment content, or falsifying attendance or skill verification records.
17.3 MedPro Extreme may impose sanctions, including failure, removal, denial or revocation of certificates, and ban from future courses.
17.4 No refund will be issued for sanctions due to Honor Code violations, to the maximum extent permitted by law.
18. Disclaimers
18.1 Services are provided as is and as available.
18.2 MedPro Extreme disclaims warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
18.3 MedPro Extreme does not guarantee:
(a) certification,
(b) regulatory acceptance,
(c) employer acceptance,
(d) licensure, credentialing, or job qualification outcomes.
18.4 You are responsible for verifying professional requirements in your jurisdiction.
19. Limitation of Liability
19.1 To the maximum extent permitted by law, MedPro Extreme is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of opportunity, or reputational harm.
19.2 MedPro Extreme is not liable for travel costs, lodging costs, visa costs, lost wages, or personal expenses.
19.3 MedPro Extreme total aggregate liability for any claim related to a specific Service is limited to the amount actually paid to MedPro Extreme for that Service.
19.4 This limitation applies to all legal theories, including contract, tort, negligence, strict liability, and statutory claims.
20. Indemnification
20.1 You agree to indemnify, defend, and hold harmless MedPro Extreme and its directors, officers, employees, contractors, and agents from claims, liabilities, damages, losses, and expenses arising from:
(a) your breach of this Agreement,
(b) your negligent or wrongful acts or omissions,
(c) your violation of law or third-party rights,
(d) your unauthorized use of Materials,
(e) injuries or damages caused by you to other persons or property.
21. Force Majeure
21.1 MedPro Extreme is not liable for delay, suspension, or failure to deliver Services due to Force Majeure.
21.2 Remedies for cancellation due to Force Majeure are limited to those stated in the Refund and Cancellation Policy, unless mandatory law requires otherwise.
22. Partnership, Co-Hosting, Referrals, and Sponsorships
22.1 A partnership exists only when confirmed in writing by MedPro Extreme.
22.2 Partners must not make claims about certification, standards, or MedPro Extreme endorsement beyond what is approved in writing.
22.3 Partners must not use MedPro Extreme branding, Materials, photos, or course titles in marketing without written approval.
22.4 MedPro Extreme retains sole control over:
(a) safety rules,
(b) instructor authority,
(c) training standards,
(d) assessment outcomes,
(e) certification issuance.
22.5 Partners must protect confidential information, including pricing, client lists, operational plans, materials, and instructor arrangements.
22.6 MedPro Extreme may terminate partnership access immediately for brand misuse, misrepresentation, non-payment, confidentiality breach, safety risk, or reputational harm. Upon termination, brand use must stop immediately.
23. Privacy and Data Use
23.1 You authorize MedPro Extreme to collect, store, and use data for registration, course delivery, certification records, quality improvement, compliance, and customer support.
23.2 MedPro Extreme may share limited data with credentialing bodies, delivery partners, payment processors, insurers, and legal advisers where necessary for performance or compliance.
23.3 If an organization funds your training, you authorize reporting of attendance and outcomes to that organization.
24. Notices and Communications
24.1 Notices to MedPro Extreme must be sent to official@medproextreme.com.
24.2 MedPro Extreme may send notices to the contact details you provided. You are responsible for keeping them current.
25. Governing Law, Jurisdiction, and Cross-Border Disputes
25.1 This Agreement is governed by the laws of the Kingdom of Thailand.
25.2 You agree that courts in Thailand have jurisdiction over disputes, unless a signed written contract specifies a different forum or arbitration.
25.3 If you are outside Thailand, you agree that service of process and enforcement may occur according to applicable international procedures and local enforcement rules.
26. Assignment
26.1 You may not assign or transfer your rights or obligations without MedPro Extreme written consent.
26.2 MedPro Extreme may assign this Agreement as part of a restructuring, merger, acquisition, or business transfer.
27. Severability
27.1 If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
28. Survival
28.1 Sections relating to intellectual property, limitation of liability, indemnification, disputes, confidentiality, and any obligations that by their nature should survive will continue after completion of training or termination of access.
29. Amendments
29.1 MedPro Extreme may update these Terms by publishing a revised version with a new effective date.
29.2 Continued use of Services after the effective date constitutes acceptance of the updated Agreement.
30. Acknowledgment
By registering, paying, attending, accessing, participating in, or engaging with MedPro Extreme, you confirm that you have read, understood, and agree to be legally bound by this Agreement.
31. EXPRESS WAIVER AND RELEASE OF LIABILITY
31.1 To the maximum extent permitted by applicable law, you hereby knowingly, voluntarily, and expressly waive, release, and discharge MedPro Extreme, its directors, officers, employees, instructors, contractors, agents, partners, affiliates, and representatives from any and all claims, demands, causes of action, liabilities, damages, losses, costs, or expenses arising out of or related to your participation in the Services, including but not limited to claims arising from ordinary negligence.
31.2 This waiver and release applies to all injuries, illnesses, losses, damages, or death, whether occurring during training, travel to or from training locations, or participation in any associated activity.
31.3 You acknowledge that a separate written waiver, release, or assumption-of-risk form may be required at or before course commencement. Failure to execute such form due to oversight or administrative error shall not invalidate this Agreement or limit the enforceability of this Section.
32. NO EMPLOYMENT, AGENCY, OR JOINT VENTURE
32.1 Nothing in this Agreement shall be construed as creating any employment relationship, agency, joint venture, partnership, fiduciary relationship, or legal representation between you and MedPro Extreme.
32.2 Participants, partners, sponsors, volunteers, and collaborating organizations have no authority to bind MedPro Extreme or act on its behalf unless expressly authorized in writing.
32.3 Instructors and staff may act as independent contractors. No employment, benefits, or labor rights are created by participation in the Services.
33. NO MEDICAL ADVICE OR PROVIDER-PATIENT RELATIONSHIP
33.1 You acknowledge that all medical-related content, demonstrations, scenarios, and simulations provided by MedPro Extreme are for educational and training purposes only.
33.2 Participation in any Service does not create a doctor-patient, provider-patient, or healthcare professional relationship between you and MedPro Extreme or any instructor.
33.3 MedPro Extreme does not provide medical diagnosis, prescription, or treatment services. Any actions performed during training scenarios are simulated and must not be relied upon as clinical or medical advice.
34. EMERGENCY DECISION AUTHORITY AND CONSENT
34.1 You authorize MedPro Extreme, its instructors, and staff to obtain or facilitate emergency medical care on your behalf when reasonably deemed necessary for your safety.
34.2 You acknowledge that emergency response, evacuation, or rescue decisions may be constrained by location, access, weather, resources, or safety considerations and agree that such decisions are made in good faith.
34.3 You agree that all costs related to emergency treatment, evacuation, rescue, or transport are your sole responsibility unless expressly agreed otherwise in writing.
35. THIRD-PARTY VENUES AND SITE DISCLAIMER
35.1 You acknowledge that training may take place on land, facilities, waterways, or locations owned or controlled by third parties, including government agencies, private landowners, or public authorities.
35.2 MedPro Extreme does not own, control, or guarantee the condition or safety of third-party sites and shall not be liable for acts, omissions, hazards, or conditions attributable to such third parties.
36. TRAVEL, TRANSPORT, AND ACCOMMODATION DISCLAIMER
36.1 Unless expressly stated in writing, MedPro Extreme does not arrange, operate, or control transportation, travel logistics, accommodation, or related services.
36.2 You acknowledge that travel to and from training locations, including flights, vehicles, boats, or other conveyances, is undertaken at your own risk.
36.3 MedPro Extreme shall not be liable for delays, cancellations, injuries, losses, or damages arising from travel or accommodation arrangements.
37. INSURANCE RESPONSIBILITY
37.1 You acknowledge that you are solely responsible for obtaining and maintaining appropriate insurance coverage, including but not limited to health, accident, travel, evacuation, and personal liability insurance.
37.2 Any insurance held by MedPro Extreme does not extend coverage to you unless explicitly stated in writing.
38. LANGUAGE AND INTERPRETATION PREVAILING CLAUSE
38.1 This Agreement may be translated into other languages for convenience.
38.2 In the event of any inconsistency, ambiguity, or dispute arising from translation, the English language version shall prevail, unless a different prevailing language is expressly stated in writing.
39. CLASS ACTION WAIVER AND SEVERAL LIABILITY
39.1 To the maximum extent permitted by applicable law, you agree that any claim or dispute arising out of or relating to this Agreement or the Services shall be brought solely in your individual capacity.
39.2 You waive any right to participate in any class, collective, representative, or group action against MedPro Extreme.
40. TIME LIMITATION TO BRING CLAIMS
40.1 Any claim, action, or proceeding arising out of or relating to the Services or this Agreement must be commenced within twelve (12) months from the date the cause of action arose, or such claim shall be permanently barred, to the extent permitted by law.
41. EXPANDED FORCE MAJEURE FOR INTERNATIONAL OPERATIONS
41.1 In addition to events listed elsewhere in this Agreement, Force Majeure includes war, terrorism, civil unrest, border closures, embargoes, international travel restrictions, pandemics, epidemics, and governmental or military actions.
41.2 MedPro Extreme shall not be liable for failure or delay resulting from such events.
42. SURVIVAL OF OBLIGATIONS
42.1 The following sections shall survive completion, cancellation, termination, or expiration of participation or partnership:
(a) Waiver and Release of Liability
(b) Assumption of Risk
(c) Intellectual Property
(d) Limitation of Liability
(e) Indemnification
(f) Governing Law and Jurisdiction
(g) Media Rights
(h) Confidentiality
43. ENTIRE AGREEMENT AND FINAL ACKNOWLEDGMENT
43.1 This Agreement, together with incorporated policies, constitutes the entire agreement between you and MedPro Extreme relating to the Services.
43.2 You acknowledge that you have read this Agreement in full, understand its legal effect, and agree to be bound by it voluntarily and without reliance on any representation not expressly stated herein.
44. ACKNOWLEDGMENT AND ACCEPTANCE OF TERMS
44.1 By registering, submitting any application or form, making payment, signing any document, clicking any acceptance box, accessing any materials, attending or participating in any training, event, assessment, simulation, field exercise, or by engaging in any partnership, collaboration, or business activity with MedPro Extreme Co., Ltd., you expressly acknowledge and confirm that:
(a) you have read this Terms and Conditions Agreement in its entirety;
(b) you fully understand the scope, content, and legal effect of this Agreement;
(c) you understand that this Agreement governs all current and future interactions with MedPro Extreme unless expressly stated otherwise in writing;
(d) you have had the opportunity to seek independent legal advice before agreeing to these Terms; and
(e) you voluntarily and knowingly agree to be legally bound by all provisions contained herein, including all incorporated policies, waivers, limitations, and obligations.
44.2 If you do not agree with any part of this Agreement, you must not register, attend, access, participate in, or engage in any MedPro Extreme services, activities, materials, or partnerships.
45. ELECTRONIC ACCEPTANCE AND DIGITAL SIGNATURE EQUIVALENCY
45.1 You agree that electronic actions, including but not limited to clicking an “I agree” button, submitting online forms, completing registration, making payment, accessing digital platforms, or otherwise engaging with MedPro Extreme services, constitute valid and legally binding acceptance of this Agreement.
45.2 Such electronic acceptance shall have the same legal force and effect as a handwritten signature and shall be admissible as evidence of consent to the maximum extent permitted by applicable law.
46. VERSION CONTROL, EFFECTIVE DATE, AND MODIFICATIONS
46.1 This Terms and Conditions Agreement is effective as of January 1, 2025, and supersedes all prior versions, agreements, understandings, representations, or communications, whether written or oral, relating to the same subject matter.
46.2 The most current version of this Agreement shall be published on the MedPro Extreme website at www.medproextreme.com or other official platforms designated by MedPro Extreme.
46.3 MedPro Extreme reserves the right to amend, update, or modify this Agreement at any time at its sole discretion. Any such changes shall take effect upon publication unless a later effective date is expressly stated.
46.4 Your continued participation in any Services after the effective date of any modification constitutes your acceptance of the revised Agreement.
47. LEGAL NOTICES AND CONTACT INFORMATION

47.2 Notices sent electronically shall be deemed received on the date of transmission, provided no delivery failure notice is received.
48. NO PARTICIPATION WITHOUT ACCEPTANCE
48.1 Participation in any MedPro Extreme activity, training, event, or partnership is strictly conditional upon acceptance of this Agreement.
48.2 If you do not agree to all terms and conditions contained herein, you must immediately discontinue access to all MedPro Extreme materials, platforms, and activities and must not participate in any Services.
49. ENTIRE AGREEMENT AND FINAL CLOSING STATEMENT
49.1 This Agreement, together with all policies incorporated by reference, constitutes the entire agreement between you and MedPro Extreme Co., Ltd. regarding the Services and supersedes all prior or contemporaneous agreements or understandings.
49.2 No failure or delay by MedPro Extreme in enforcing any provision of this Agreement shall be deemed a waiver of any right or provision.
49.3 Headings are included for convenience only and shall not affect interpretation.
49.4 This Agreement shall be binding upon and inure to the benefit of MedPro Extreme and its successors and permitted assigns.
